## Description

Clerky is an online legal paperwork service built specifically for startups. Run by startup attorneys, the company helps founders prepare important documents safely and efficiently, with a focus on avoiding legal issues that could create problems during due diligence or fundraising. Clerky is not a law firm and does not act as a customer’s attorney; its software supports founders and can also involve their own counsel in reviewing documents.

Its services cover key stages of a startup’s lifecycle. Founders can incorporate a Delaware C corporation and complete post-incorporation tasks such as issuing founder stock, setting up governance, and documenting intellectual property. Clerky also offers tools for fundraising, including board consents, SAFEs, and convertible notes; hiring paperwork, such as offer letters and confidentiality agreements; and commercial documents, including one-way and mutual NDAs. Maintenance products help companies update records and make corporate changes. Additional offerings include foreign qualification, stock plan adoption, EIN applications for non-U.S. founders, and pre-filled corporate bank account applications.
