The main difference between halting operations and liquidation is that halting operations is a temporary freeze of your company, while liquidation involves a complete deregistration. We recommend halting operations for those who intend to resume business in the future, as it can be done for up to 5 years. To halt operations, you need to submit an application, and from that point on, your company cannot engage in transactions, issue invoices, buy or sell goods, receive payments, and more.
It's important to regularly update your activities within five years; otherwise, your legal entity may need to terminate through liquidation, bankruptcy, or other means. Even if your operations are halted, you still need to submit financial reports to the Register Center annually. On the other hand, liquidation is the process of deregistering your company from the Legal Entities Register, which typically takes 3-7 months but can sometimes extend up to 15 months.
Please note that voluntary liquidation is only available for solvent companies. If your company is insolvent, you may be subject to compulsory liquidation or bankruptcy proceedings. The Register Center also reserves the right to initiate liquidation for legal entities who haven't updated their information for more than 5 years or have been late in submitting financial statements for over a year.
If you receive a notice of initiated liquidation, the company's representative must submit the required documents to the Register Center within 3 months. Failing to meet this deadline may result in the revocation of your legal status, which can only be restored through legal means.
